Master Terms and Conditions

These Terms and Conditions (“Agreement”) govern all business relationships, product purchases, website use, and services provided by Direct Sound, LLC (“Direct Sound,” “we,” “us,” or “our”). By accessing our websites, purchasing products, registering warranties, or conducting business with us as a customer, reseller, or supplier, you agree to the policies referenced in this Agreement.
If you do not agree to these Terms, please do not use our websites or purchase our products.

1. Scope of this Agreement
This Agreement establishes the overall terms under which Direct Sound operates. It connects and governs the following policies, each of which is incorporated by reference and may be viewed in full on our websites:

3. Updates and Modifications
Direct Sound may update or revise this Agreement or any referenced policy at any time. Updates will be posted on our websites with a new effective date. Continued use of our websites or products after such updates constitutes acceptance of the revised Terms.
4. Data Privacy and Communication
By engaging with Direct Sound, including purchasing, registering a product, or contacting us online, you consent to our collection and use of information as described in our Privacy Policy. We use this data solely to process orders, manage warranties, and communicate product or service information. You may opt out of marketing communications at any time. All communications may be conducted electronically and satisfy legal requirements for written notice.
5. Intellectual Property
All trademarks, logos, designs, product images, and website content are the property of Direct Sound, LLC, or its licensors. No license or right to use any Direct Sound intellectual property is granted except as expressly authorized in writing.
6. Confidentiality
All information marked confidential or proprietary information exchanged between Direct Sound, LLC and any customer, reseller, supplier, or partner, including but not limited to pricing, product specifications, business plans, and marketing materials, must be kept strictly confidential. Such information may be used only for the purpose for which it was provided and may not be disclosed to any third party without prior written consent from Direct Sound, LLC. This obligation survives termination of any business relationship or agreement.
7. Limitation of Liability
To the fullest extent permitted by law, Direct Sound is not liable for indirect, incidental, or consequential damages, including loss of profits, data, or business opportunities, arising from your use of our products, services, or websites. Direct Sound’s total liability in any matter shall not exceed the amount paid for the product or service giving rise to the claim.
8. Dispute Resolution and Arbitration
Any dispute arising from this Agreement or the referenced policies will be resolved through binding arbitration under the Federal Arbitration Act, administered by the American Arbitration Association in St. Louis County, Missouri. Arbitration will be conducted on an individual basis, class actions are not permitted. The prevailing party may recover reasonable attorney’s fees and costs. This clause applies to all policies referenced herein and survives termination of this Agreement.
9. Governing Law
This Agreement and all referenced policies are governed by the laws of the State of Missouri, without regard to conflict-of-law principles. Venue for any permitted court action shall be St. Louis County, Missouri.
10. Severability
If any part of this Agreement or the referenced policies is held invalid or unenforceable, the remaining provisions will continue in full effect.
